Effective date: 30 October 2026
These Terms & Conditions (“Terms”) govern your access to and use of outsignal.ai and our off-market owner introduction services for acquirers (the “Services”). By using our site or Services, you agree to these Terms.
If you have questions, email: privacy@outsignal.ai.
1) Who we are
“Outsignal”, “we”, “us” means Outsignal. Our Privacy Policy explains how we handle personal data and is part of these Terms: privacy@outsignal.ai.
2) Using the Services
- You must be at least 18 and acting for a business.
- You’ll ensure your use is lawful, accurate, and not misleading.
- If you create an account or share access, keep credentials secure and notify us of any breach.
3) Orders, fees, and payment
- Fees, scope, term, and deliverables are set out in an Order Form, proposal, or online checkout (each an “Order”).
- Unless otherwise stated, fees are exclusive of VAT, non-refundable, and due in advance.
- Late payments may incur suspension and/or interest at the statutory rate.
4) Your responsibilities
You are responsible for:
- Lawful basis & lists: Ensuring you have a lawful basis to use any prospect lists you supply and that your instructions comply with applicable laws (including UK GDPR/PECR, e-privacy, and anti-spam rules).
- Targeting & claims: The accuracy of your product claims, offers, and targeting criteria.
- Approvals: Reviewing and approving messaging and campaign parameters promptly.
- Prohibited content: No illegal, harmful, deceptive, discriminatory, or infringing content; no malware; no harassment.
5) Our role
- We research owner-run businesses that match your acquisition criteria, contact their owners by outbound, and introduce you to owners who say they’re open to a conversation, as agreed in your Order.
- Unless the Order says otherwise, we don’t guarantee results (e.g., number of leads, meetings, or revenue).
- We may use reputable third-party tools and providers to deliver the Services.
6) Data protection
- Each party will comply with applicable data protection laws (including UK GDPR and PECR).
- Our Privacy Policy explains our processing as controller for our site and marketing.
- Where we process personal data on your behalf (e.g., running campaigns using your lists), we’ll do so under a Data Processing Addendum (DPA) incorporating appropriate transfer safeguards (e.g., UK IDTA/Addendum). We can provide our standard DPA on request.
- You must not provide special category data or children’s data.
7) Acceptable use (no spam)
You will not use the Services to send unlawful or excessive messages, harvest emails, or bypass opt-outs. Each outreach must include a clear identification of the sender and an easy unsubscribe. If someone opts out, you will honor it and we will add them to a suppression list.
8) Intellectual property
- Yours: You retain all rights in content, marks, and data you provide. You grant us a licence to use that content/data solely to deliver the Services.
- Ours: We retain all rights in our platform, templates, know-how, and tools. After the term, you may keep the deliverables you’ve paid for (e.g., lists, copy, reports) for your internal business use, subject to third-party licence terms.
9) Confidentiality
Each party will keep the other’s non-public information confidential and use it only to perform these Terms, for 3 years after disclosure (longer for trade secrets).
10) Warranties & disclaimers
- You warrant that you have all necessary rights to provide your content and data and to instruct us to process it.
- We provide the Services “as is” and disclaim all implied warranties to the maximum extent permitted by law. We don’t warrant uninterrupted or error-free operation or specific commercial outcomes.
11) Indemnities
- You indemnify us against claims, losses, and costs arising from your content, lists, targeting, unlawful or non-compliant instructions, and your breach of these Terms or law.
- We indemnify you against third-party claims that our proprietary tools (excluding your content or third-party components) infringe UK IP rights, provided you notify us promptly and let us control the defence.
12) Limitation of liability
- Neither party is liable for indirect or consequential losses, including lost profits, revenue, or data.
- Each party’s total liability arising out of or in connection with the Services is limited to the fees you paid to us in the 12 months before the event giving rise to the claim.
- Nothing limits liability for death or personal injury caused by negligence, fraud, or where otherwise unlawful to limit.
13) Term, suspension, termination
- These Terms start when you first use our site or sign an Order and continue while you use the Services.
- Either party may terminate an Order for material breach not cured within 14 days of notice.
- We may suspend the Services for non-payment, legal risk, security risk, or breach of these Terms.
- On termination: you’ll pay all fees due; we’ll stop campaigns and, on request, return or delete your data (subject to legal retention and suppression lists).
14) Site terms of use (outsignal.ai)
- Site content is provided for general information only; it isn’t advice.
- We may change or remove content or features without notice.
- Third-party links are provided for convenience; we don’t control their content or policies.
- You may not copy, scrape, or reverse engineer our site without permission.
15) Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., outages, provider failures, new regulatory restrictions, strikes, acts of God).
16) Changes to these Terms
We may update these Terms. If changes are material and affect an active Order, we’ll notify you. Continued use after changes means you accept the updated Terms.
17) Assignment & subcontracting
You may not assign an Order without our consent (not to be unreasonably withheld). We may subcontract, remaining responsible for our obligations.
18) Notices
We’ll send legal notices to the latest contact you provided (including by email). You can contact us at privacy@outsignal.ai.
19) Governing law & venue
These Terms (and any non-contractual disputes) are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction.
